
Elios Field Agreement
Dear Customer,
Elios Electric, LLC, a Texas limited liability company (the “Company”), is pleased to offer you a position as an installer for the Company In Houston Texas. Upon acceptance of this offer, you and the Company agree that, if applicable, you will work together in good faith to further document the terms and provisions of your position with the Company.
1. Title, Duties, and Starting Date. You will serve as installer for the Company’s Electrical projects located in the State of Texas. The Company expects that you will generally support installation crews and help facilitate the safe and efficient installation of electrical projects. You will coordinate and schedule material preparation and installations for all of the Company’s customers, as well as oversee all electrical installations and renewable energy projects. You further agree to provide oversight for new installation crews to meet best practices and to train electricians on installs and other custom projects. Your starting date will be:

You will be classified as a contractor of the Company and your compensation will be considered 1099 income. You represent to the Company that you have no Contractual or other legal obligations that would prohibit you from performing the duties presently assigned, as well as those contemplated to be assigned
During your provision of services for the Company, you agree to devote your best efforts, and full time attention to the business and affairs of the Company. You will assist in the facilitation of communication between the Company and the installation teams, as well as the Company’s corporate offices, customers, as well as other installers, electricians, and/or subcontractors. You further agree that you will not engage in any other employment, consulting, or other business activity, without the prior written consent of the Company; provided, that you shall be able to engage in other personal and civic activities so long as such activities are not in any way competitive to the existing or prospective business of the Company and are not otherwise in violation of any contractual restrictions.
2. Compensation. In exchange for the services rendered for the Company, you will be entitled to receive total compensation in regards to current rates and practices identified by the Company. The compensation shall be allocated as follows (if applicable): None . The foregoing payment will be paid to you monthly in accordance with the Company’s regular payroll practices.
3. Entire Agreement; Waiver. Except as otherwise provided by applicable law, this letter contains all of the terms of your position with the Company and supersedes any prior understandings or agreements, whether oral or written, between you and the Company. No waiver of any of the terms of this Offer Letter shall be valid unless signed by the party hereto against whom such waiver is asserted and a waiver at any time of any of the terms of this Offer Letter shall not be construed as a waiver at any subsequent time of the same terms.
4. Amendments; Governing Law; Submission to Jurisdiction. This Offer Letter may not be amended or modified, except by an express written agreement that has been signed by you and a duly authorized officer of the Company. This Offer Letter will be governed by the laws of the State of Texas. All disputes between you and the Company hereunder will be heard exclusively in the courts in the State of Texas and you hereby submit to the jurisdiction of such courts with respect to any such dispute.
5. Acceptance and Expiration of Offer. I hope that you find the foregoing terms acceptable. You may accept this offer by signing and dating this letter in the space provided below and returning it to me.
